MATERIALS RELEASE
For good and valuable consideration, the receipt of which from UMG Nashville, a division of UMG Recordings, Inc., 222 2nd Ave S, STE 2200, Nashville TN, 37201 ("Company") is acknowledged, the participant has created and delivered a photograph (“Photo”) to Company for use in connection with an online photo gallery promotion (the “Gallery”) created by Company and Alan Jackson (the “Artist”). The participant acknowledges that the Photo shall be a “work made for hire” for Company under the U.S. Copyright Act and all other copyright laws throughout the world. Accordingly, Company shall be deemed the “author” of the Photo and shall own all worldwide right, title and interest (including all worldwide copyrights and all renewals and extensions thereof) in and to all the Photos. To the extent that the participant may be deemed the "author" of such Photo the participant will, upon request, execute, acknowledge and deliver to Company such additional documents as Company may deem necessary to evidence and effectuate Company's rights hereunder, and the participant hereby grants to Company the right as attorney-in-fact to execute, acknowledge, deliver and record in the U.S. Copyright Office or elsewhere any and all such documents if the participant shall fail to execute same within five (5) days after so requested by Company. Accordingly, Company and its assigns, and such assigns’ employees, agents, licensees and assigns shall have the exclusive right, but not the obligation, to include the Photo in the Gallery and in connection with the exhibition (theatrically, on television, social media, print or otherwise) of the Gallery or derivative works thereof (which Gallery and derivative works I agree may be distributed by sale, rental or otherwise) in any medium or form, whether alone or coupled together with other audio and/or visual material, and for advertising, promotion, or any and all other lawful purposes whatsoever. The participant expressly understands and agrees that (i) any such photograph, film, tape or other recording of the Photo, or any part thereof, as embodied in the Gallery, (ii) all rights therein as embodied in the Gallery, and (iii) all results and proceeds derived therefrom, shall be the sole and absolute property of Company for any and all purposes whatsoever in perpetuity, and Company, its licensees, successors and assigns shall have the unlimited right throughout the universe to copyright and publish, exhibit or use the Gallery or any part thereof in any manner they desire. The participant agrees not to make any claim against Company or Artist, their licensees, distributors, successors and assigns based on any moral and like rights that the participant may have in the Photo, or any part thereof, arising from the use of the Photo, or any part thereof, as set forth herein.
Except where prohibited by law, submission of the Photo constitutes permission for Company and its agents to use my name, hometown, likeness, photographs, and statements for purposes of advertising or promotion (including making any content available as a promotional item, for publicity purposes or as a part of a compilation video) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.
The participant agrees that Company is not required to use or otherwise exploit the Photo.
The participant further represents that the Photo submitted is compliant with the provided guidelines (“Submission Guidelines")
The participant hereby certifies and represents that the participant has read the foregoing and fully understands the meaning and effect thereof and, intending to be legally bound, the participant has hereunto committed to providing a copy of participant’s government issued photo identification as confirmation of agreement and proof of authorization effective upon Company request.
